Yes it is a direct bolt on and it is an improvement over the stock pan as it increases the oil capacity to 10 quarts. Should also upgrade the windage tray.

I was wonderng if there is a difference in the 2002 oil pan vs the 1998 oil pan? Is it a direct bolt on?

Ab, you should just have Joe Dozzo upgrade your oil pan to having trap doors(Keeping more oil over the pickup during acceleration and braking as well as cornering), he modifies your windage tray, he makes a different baffle for the top of the oil pan. Basically, he makes your stock pan into the newer one for $275.00 plus shipping. Just do that and add the preoiler and you will be all set! Joe's # is 303-279-0877.

Thanks Paolo!

1996 - 1999 Gen II oil pans are all the same and all 2000 - 2002 oil pans are the same.

The 2000+ pan will most assuredly bolt up to your 1998 and as Ron says, you get a bit more capacity. And to my thinking, an even more important upgrade for 1999 and earlier Gen II's, also as Ron mentions, get the 2000+ windage tray.

And then there's one more step, like Paolo mentions, some internal baffling (which can be applied to pre or post 2000 oil pans).
